Lauren Brown concentrates in financial institutions law with emphasis on the regulation and structure of financial institutions. Ms. Brown organizes de novo financial institutions and their holding companies, including raising capital for new and existing entities. She handles purchases and sales of financial institutions and bank holding companies, as well as corporate reorganizations such as conversions to Subchapter S tax status and "going private" transactions. Ms. Brown advises financial institutions and their holding companies on the resolution of regulatory issues, the preparation and filing of annual and quarterly reports, proxy solicitation requirements and other securities law issues. Ms. Brown also counsels clients on corporate governance issues.

In addition, Ms. Brown counsels her clients regarding technology and data processing outsourcing.
