Todd Wade concentrates his practice in the areas of mergers and acquisitions, corporate finance, private equity and securities compliance.

Mr. Wade's practice focuses on the representation of public and private companies and investment banking firms in mergers, asset purchases and sales, joint ventures, reorganizations, going private transactions and tender offers as well as the public and private issuance of equity securities.

Mr. Wade also counsels publicly held companies on public reporting requirements under federal securities law, shareholder communications, and the preparation and filing of other reports and information with the Securities and Exchange Commission.

As co-head of Powell Goldstein's Private Equity & Venture Capital Practice Group, Mr. Wade regularly represents investors and issuers in all aspects of venture capital and other private equity finance transactions.

His private equity practice includes fund formation, management buyouts and all stages of investment from seed investments to recapitalizations, involving the issuance or purchase of equity, debt and convertible securities.

Mr. Wade serves on Powell Goldstein's investment committee.
