Thomas R. McNeill concentrates in corporate finance, mergers and acquisitions, corporate governance and securities, international and business law. He regularly counsels public companies with respect to corporate governance issues. His merger and acquisition practice includes structuring and financing acquisitions and divestitures for public and privately owned companies and involves both domestic and international operations. His international practice involves inbound and outbound transactions and structuring of international distribution systems. In the corporate finance arena, Mr. McNeill has participated in venture capital, project finance and joint venture transactions. He also provides advice in logistics issues involving supply chains, site selection and distribution issues.

Examples of Mr. McNeill's transactional experience include a tax-free spinoff involving three NYSE listed corporations in the restaurant and food service industries; the acquisition by a U.S. flag international air carrier of a similar carrier; a divestiture by a manufacturer of a national chain of retailers; the consolidation of a public and private company to form a national publicly traded owner and operator of hotels; the acquisition of assets of a 450-store national retailer; the acquisition of U.S., German and French businesses involved in the manufacture of scientific instrumentation; and a significant private equity investment in a national imaging and document management company.

Clients of Mr. McNeill include manufacturers of carpet, automotive parts and industrial products, restaurant companies, a food and beverage services company, and a passenger and cargo air carrier.

Mr. McNeill is the Chair of the firm's Business & Finance practice group and serves as a Chair of the firm's Logistics Practice.

Mr. McNeill has been selected as a member of the prestigious Committee on Corporate Laws of the Business Law Section of the American Bar Association. The Committee on Corporate Laws is responsible for updating and monitoring the Model Business Corporation Act and the Corporate Directors Guidebook. Additionally, Mr. McNeill has been selected for the 2007 and 2008 editions of The Best Lawyers in America for Corporate Law and Mergers & Acquisitions Law and by Chambers and Partners for Corporate Mergers & Acquisitions. Additionally, he has been recognized by Atlanta Magazine as a 2007 and 2008 Georgia Superlawyer.
