Rob Klingler concentrates on advising financial institutions on all aspects of their business, with a particular focus on capital raising and public company securities compliance. Mr. Klingler advises public companies, including those listed on the New York Stock Exchange and the NASDAQ Stock Market, as well as private companies, on a wide variety of securities-related issues, including raising capital, the preparation and filing of annual, quarterly and current reports, Section 16 compliance, proxy solicitations and going private transactions. Mr. Klingler also advises public and private companies on corporate governance issues, including compliance with the Sarbanes-Oxley Act of 2002.

Mr. Klingler has been the lead attorney on several merger and acquisition transactions, including branch purchases, for financial institutions, representing both purchasers and sellers. Mr. Klingler's transactional work includes regulatory compliance related to the Bank Merger Act, the Bank Holding Company Act and the Change in Bank Control Act. Mr. Klingler has also organized de novo financial institutions and their holding companies, and also converted institutions to Subchapter S tax status.

Mr. Klingler has also represented lenders on commercial and private banking loan transactions.

Prior to joining the firm, Mr. Klingler was an assistant coach of the University of Florida Speech and Debate Team. Mr. Klingler initiated the University of Florida's parliamentary debate program and led it to national prominence.
