Illya Antonenko focuses his practice in international anti-corruption and transactional matters. Specifically, Mr. Antonenko advises multinational companies with respect to compliance with the Foreign Corrupt Practices Act (FCPA) and international requirements such as the OECD anti-corruption convention. This work involves assisting clients with due diligence reviews of third parties, conducting internal investigations, and implementing compliance policies, procedures, and training.
In addition to FCPA work, Mr. Antonenko assists U.S. and foreign companies with overseas transactions and other international matters. For example, Mr. Antonenko oversaw due diligence reviews of acquisition targets in Ukraine and the Republic of Georgia, negotiated and drafted agreements for acquisition of telecommunications assets in the former Soviet Union, and advised on contracts with overseas suppliers and sales representatives. As part of a small team, Mr. Antonenko prepared and executed an innovative, multifacted strategy on behalf of U.S. investors in a Russian company to fend off attacks from a notorious Russian corporate raider and to negotiate an exit strategy.
In the past, Mr. Antonenko assisted governments of several foreign countries in formulating their policies regarding the Central American Free Trade Agreement and the Free Trade Area of the Americas, prepared financing documents in international project finance deals, worked on federal and state regulatory filings in connection with the restructuring of a large multinational bank, represented clients before the U.S. Customs Service, and prepared general corporate documents for business clients.
