Michael Rafter concentrates in the areas of corporate finance and business transactions. Mr. Rafter focuses his practice on representing REITs and other real estate companies, as well as consumer finance companies, in the following areas:

  • Public offerings of securities
  • Other Securities and Exchange Commission filings and compliance
  • Private placements of securities
  • Blue Sky filings and compliance
  • Representation of companies in connection with NASD regulatory and compliance requirements
  • Sarbanes-Oxley Act and corporate governance

Mr. Rafter also represents both domestic and foreign clients in structuring, negotiating, and documenting mergers and acquisitions and other corporate combinations and reorganizations. He also advises clients on structuring and documenting transactions involving limited partnerships, limited liability companies, joint ventures, and other strategic alliances in the U.S. and overseas.

Mr. Rafter was selected as a 2005 Georgia Super Lawyers' Rising Star.
