Shortly thereafter, on January 11, 2006, federal district court judge Beverly Martin issued a 45-page opinion finding that all four of the Aflac policies at issue were original works entitled to copyright protection and that Defendants had infringed the cancer and accident policies, Aflac's two biggest sellers. Finding that, at least with regard to these two policies, the "evidence of defendants' copying is remarkable," the Court issued a nationwide injunction preventing Defendants from selling any more of their infringing cancer and accident policies, with the amount of bond to be posted by Aflac to be determined. The ruling is significant because, while it has long been the law that contracts like insurance policies are capable of receiving copyright protection, Defendants' counsel repeatedly claimed that there are no reported cases finding such policies infringed. Joey Loudermilk, Aflac's Executive Vice President of Legal and Government Affairs was very pleased with the Court's decision and stated "While we welcome fair competition, there should be no shortcut to the marketplace or easy route for developing the best insurance products." Defendants recently filed an appeal to the Eleventh Circuit. The style of the case is American Family Life Assurance Company of Columbus v. Assurant, Inc. Fortis Insurance Company, and John Alden Life Insurance Company, United States District Court for the Northern District of Georgia, Civil Action No. 1:05-CV-1462. Since the advent of the Sarbanes-Oxley Act in 2002, a significant number of community banks have gone private, with over 50 having filed for such a transaction with the SEC since January 2003. Most of these transactions have taken the form of a cash-out merger or reverse stock split in which holders of fewer than a specified number of shares are forced to take cash for their shares in order to reduce the company's shareholder base below the 300-shareholder threshold required for a going private transaction. Others have been in the form of a tender offer, which seeks the same result on a voluntary, albeit less reliable, basis. In each case, however, the company needs to come up with the capital necessary to repurchase and often-significant portion of its outstanding shares. While banks with excess capital or the ability to finance the repurchase by issuing trust preferred securities or incurring holding company debt are well situated to pursue a going private transaction through any of these means, banks with capital constraints have typically had a difficult time.

Powell Goldstein Serving as Counsel in Nationally-Watched Municipal Bond Litigation
May 13, 2005

Tom Richey and David Meadows of Powell Goldstein's Securities, Corporate and Fiduciary Litigation practice group are counsel to Stephens Inc., the Arkansas investment banking firm, in litigation closely followed by the municipal bond industry, its primary news publication and two of its principal trade associations. The suit involves the relationship between municipal bond underwriters and the bond insurers who insure over 50% of municipal bonds issued each year. Financial Security Assurance Inc., one of the largest bond insurers, insured $69 million in bonds issued by the Solid Waste Management Authority of Crisp County, Georgia. Stephens served as the underwriter on the bond issue. FSA sued Stephens for securities violations, common law fraud and negligent misrepresentation when the bonds defaulted. Stephens won in the District Court. The trial court dismissed the securities claim, ruling that FSA did not have standing to assert claims under the federal securities laws, and granted summary judgment against FSA on the fraud and negligent misrepresentation claims, holding among other things that FSA could not recover because it failed to conduct its own due diligence on the project. The case is on appeal, with The Bond Market Association and the Association of Financial Guaranty Insurers filing opposing amicus curiae (or friend of the court) briefs.
