With the threat of hefty fines, companies have been hesitant to report potential product hazards to the CPSC because many have simply been unclear as to when a potential product hazard necessitates a reporting obligation. Less than six months ago the CPSC refined its reporting requirements to provide further guidance to makers and distributors of consumer products.

Last week, the Georgia Legislature approved Senate Bill 469, a bill which affects how Georgia corporations conduct their affairs by modernizing the Georgia Corporate Code. Specifically, the bill contains provisions which relate to: the approval process for corporate transactions; the advancement of expenses to persons entitled to indemnification as corporate directors and officers, as well as the obligation of a corporation to indemnify; proceedings during bankruptcy; and the process by which corporations, limited liability companies, and partnerships, may elect another legal form. The bill is awaiting signature by Georgia Governor Sonny Perdue.

On May 20, 2005, Diagnostic Products Corp. ("DPC") and a wholly-owned Chinese subsidiary reached an agreement with the U.S. Securities and Exchange Commission (the "SEC") to settle a probe of alleged violations of the Foreign Corrupt Practices Act (the "FCPA"), and agreed to pay disgorgement of $2,038,727 and prejudgment interest in the amount of $749,895.
