In our diverse commercial lending practice, we work with clients on both sides of commercial financing transactions. The group assists lenders and borrowers on sophisticated, syndicated loan transactions and single-lender financings to companies in specialized and regulated industries.

Our practice includes public and private debt offerings, term and revolving credit loans, secured and unsecured loans, working capital and acquisition loans, single-lender and syndicated loans, single and multiple currency loans, asset-based loans, corporate or cash flow loans, subordinated debt and other mezzanine financings, aircraft and equipment financing, project finance loans, loan sales and participations, accounts receivable securitization transactions and letter of credit and other credit and liquidity support devices. The group also has extensive experience with derivative transactions.

The members of the lending practice group handle financing transactions covering a large variety of industry groups, including healthcare, retail, real estate, hospitality, technology, manufacturing and communications, as well as a number of service industries.

Working closely with our Bankruptcy and Reorganization practice group, our commercial lending lawyers have also played a key role in many significant corporate reorganizations and have represented both borrowers and lenders in debtor-in-possession and exit financings. Our ability to analyze insolvency and collateral risks on new money financings is a valuable by-product of this expertise.

Our lawyers are also supported by attorneys from the Firm's tax, employee benefits, environmental, litigation and intellectual property practice groups, each of whom can provide invaluable assistance as required during the due diligence and documentation stages of any transaction.

Together, we have:

  • Closed over $10 billion in transactions since 1998
  • Represented one of the largest long-term care providers, closing and restructuring its credit facilities, worth approximately $14 billion
  • Represented a hospitality company, structuring and closing several credit facilities totaling approximately $400 million
  • Represented large manufacturing companies in implementing receivables securitization programs exceeding $500 million
