Business Transactions & Planning

The IRS is attuned to sophisticated business arrangements. Whether planning major deals, real estate investments or executive compensation packages, businesses must structure transactions in the most tax-efficient manner.

Our tax team conducts a multi-faceted practice. Our practitioners have years of experience structuring business transactions and investments in government and the private sector. Our team includes a former Assistant U.S. Attorney for the District of Columbia who was honored by the U.S. Department of Justice and Secret Service for prosecuting economic crimes; a former General Counsel of the U.S. Department of Housing and Urban Development, appointed by President Reagan; a member of the IRS Office of Chief Counsel who played a pivotal role in developing the Tax Reform Act of 1986; and a former Attorney-Advisor to the Assistant Secretary of the Treasury for Tax Policy at the Office of Tax Legislative Counsel. Also on our team are attorneys who have served the IRS as members of the Office of Chief Counsel and as trial attorneys, auditors, revenue agents and tax law specialists.

  • Influenced amendments of the tax laws and regulations before Congress, the U.S. Treasury Department, the IRS and state tax authorities
  • Minimized the U.S. and foreign tax consequences of our clients' international transactions and insulated clients from hidden tax consequences of cross-border transactions
  • Interpreted and anticipated state and local tax consequences of our clients' business transactions
