Our e-commerce team offers a full range of services - from strategic planning for the Web and the negotiation of contracts for goods, services and content - to compliance with antitrust, privacy, consumer protection, encryption, export control and other laws.
We offer a rare combination of technical legal expertise, federal agency policy involvement and practical business experience. Our e-commerce team includes individuals who have served as Chair of the Privacy Review Appeals Board for the Better Business Bureau Online Privacy Program; General Counsel to the largest software trade association, who represented the industry in drafting the WIPO Internet treaties, the 1998 Digital Millennium Copyright Act and the European Union Directive on Copyright and the Information Society; as well as the chief U.S. negotiator for the WIPO Internet treaties; lead officials of WIPO and U.S. PTO responsible for global Internet intellectual property issues; and a member of the U.S. delegation on electronic commerce to the Free Trade Area of the Americas negotiations.
Representative Matters:
- Negotiated cross-border software development, Web-hosting, trade name and domain name agreements
- Counseled e-commerce incubators on privacy, intellectual property and other policy matters
- Advised companies on the development of Web site privacy policies and the "safe harbor" provisions of the E.U. Privacy Directive
- Structured inbound and outbound e-commerce transactions with particular focus on U.S. sales/use and income tax issues
- Advised online media companies on content production agreements
- Provided antitrust advice in the structuring and operation of B2B e-commerce exchanges
- Prepared software and content agreements for launching the Web site of a cable television network
- Served as WIPO arbitrator in ICANN domain name dispute resolution proceedings
