Health care providers and other tax-exempt organizations have special tax considerations.

Powell Goldstein has extensive experience in advising non-profit, tax-exempt organizations. Our lawyers have participated in a wide variety of matters affecting hospitals and other organizations, including structuring and planning for numerous corporate acquisitions and dispositions, filing the initial exemption application for tax-exempt status, preparing Internal Revenue Service private letter rulings, structuring partnerships and joint ventures with both for-profit and non-profit entities and handling organizational structure issues, financings and complex reorganizations.

For many of our large non-profit clients, we serve as general counsel, providing a host of legal services, including tax, corporate regulatory compliance, litigation, employment, real estate and antitrust matters. We have prepared materials for clients' presentations at congressional hearings and comments on rulemaking activities, and have advised clients on the effects of proposed tax legislation.

Together, we have:

  • Regularly advised tax-exempt health care organizations on the impact of laws and regulations governing the structuring of their affiliations and other transactions, whether with other tax-exempt organizations or with for-profit entities
  • Structured joint ventures and other affiliations between tax-exempt health care organizations and for-profit entities
  • Represented exempt organizations before the IRS and state tax authorities in examinations of tax returns and litigation of tax controversies
  • Regularly advised tax-exempt health care organizations on compliance issues relating to laws and regulations governing tax-exempt organizations
