• Represented a large publicly traded manufacturer in an acquisition that resulted in the company stock ceasing public trading. Redesigned and negotiated equity compensation programs to allow for appropriate incentives even though stock could no longer be used due to the terms of the transaction
• Designed and implemented employee benefit programs for a post-reorganization entity split-off by a Fortune 500 company
• Represented a large publicly traded company in negotiating modification to existing change in control agreements during a company merger with another large publicly traded company. By classifying a portion of the renegotiated payments as payment for non-compete agreements, we reduced total excise taxes
