When companies and entrepreneurs meet, new ideas are born, the marketplace is enhanced and networks are expanded.

By nature, joint ventures and partnerships intermingle various facets of corporate law, including securities, financing and regulatory compliance, mergers and acquisitions and general "contract" expertise. In addition, joint ventures and partnerships tend to require both detailed tax analysis and industry-specific legal knowledge.

As a result, Powell Goldstein approaches such legal matters from an inter-disciplinary perspective, consulting industry subject matter specialists and tax attorneys within the Firm for specialized advice.

For clients seeking advice on domestic and international strategic alliances, we properly align the interests of all parties for maximum efficiency, while providing appropriate exit strategies.

Together, we have:

  • Represented a software provider in licensing its proprietary software to an online logistics marketplace company focusing on Central and South America in exchange for equity in the company
  • Assisted in forming a strategic alliance between an inadequately capitalized company with expertise in telephony technology and another firm having capital and a need for such technology in order to execute its business plan
  • Represented a technology company in the formation of a European joint venture entity and related license-back of intellectual property rights
  • Represented a company and its subsidiaries in the formation and capitalization of a new commercial finance company structured to accommodate the needs of offshore and tax-exempt investors that, along with domestic investors, contributed $550 million of capital to the new company
  • Represented a pioneer in the two-way messaging industry in a joint venture with one of the largest software companies in the world
  • Assisted numerous groups in the formation and general representation of venture capital pools
